1Accepting these terms

These Terms of Use (“terms”) are an agreement between you and Metrica Fit LLC (“Metrica Fit”, “we”, “us”), 1 Park View Avenue, Jersey City, NJ 07302, United States. They cover the Keely app for iPhone and our website, meetkeely.com (together, “Keely”).

By creating an account or using Keely, you agree to these terms. If you don’t agree, please don’t use Keely.

Our Privacy Policy explains what data Keely collects, where it’s kept and the choices you have. Please read it too.

2Who can use Keely

You must be at least 16 years old, and old enough in the country where you live to agree to these terms yourself. You also can’t use Keely if the law that applies to you doesn’t allow it.

3The service

Keely is an iPhone app for iOS 26 or later. It connects to your Polar Loop over Bluetooth and turns the band’s signals into Recovery, Load, Stress and Sleep scores. It computes these on your iPhone and backs up your profile, band registration and daily summaries to your account, so you can restore them on a new iPhone.

Keely is free. We may add paid features in the future. If we do, we’ll tell you before anything costs money, and you’ll only pay for something you choose to buy.

Keely will change over time. See section 12.

4Not medical advice

Keely is for fitness and wellbeing. It is not a medical device, and it isn’t intended to diagnose, treat, cure or prevent any disease or condition.

• Heart rate, heart-rate variability and every score in Keely are estimates. Their accuracy depends on the band’s sensors and on how the band fits and is worn.
• Keely doesn’t give medical advice. Talk to a doctor or another qualified health professional about any question you have about your health, and before you start a new exercise program.
• Don’t start, stop or change any medication or treatment because of something you see in Keely.
• Never rely on Keely in an emergency. It doesn’t watch for emergencies and can’t call for help. If you think you may be having a medical emergency, call your local emergency number right away.

5Your account

You need an account to use Keely. You sign in with your email address: we email you a one-time link, and there’s no password.

• Use an email address that’s yours and that you can access.
• One account per person. Don’t share your account or your sign-in links.
• Keep your email account secure. Anyone who can read your email could use a sign-in link to get into your Keely account.
• You’re responsible for what happens in your account. If you think someone else has used it, tell us at support@metrica.fit.

6The Polar Loop

• Keely works with the Polar Loop, a band made by Polar Electro Oy. The band is Polar’s product, sold under Polar’s own terms and warranty. For problems with the hardware, contact Polar or the store you bought it from.
• Keely is an independent app. It isn’t affiliated with or endorsed by Polar Electro.
• Keely connects to your Loop directly, instead of the Polar Flow app. A Loop works with one app at a time, so while it’s paired with Keely, it doesn’t sync with Polar Flow.
• Updating the Loop’s firmware erases the data on the band. So Keely runs a firmware update only after a successful sync, and it deletes data from the band only after that data is saved on your iPhone.
• The firmware comes from Polar, and Keely downloads it from Polar’s servers when you update. We don’t control how the firmware works, and we can’t promise that Keely will keep working with every future version of it.

7Acceptable use

Please use Keely as it’s intended and within the law. Don’t:

• copy, modify, decompile or reverse engineer Keely, or try to extract its source code, except where the law allows it despite this limit;
• access, or try to access, another person’s account or data;
• interfere with or disrupt Keely or the services it runs on, or try to get around its security or limits;
• scrape Keely or its services, or access them by automated means other than the app itself;
• sell, rent, sublicense or redistribute Keely; or
• use Keely to break the law, infringe anyone’s rights or harm anyone.

8Your data

• Your data is yours. That includes your profile and everything your Loop records.
• You give us permission to store, copy and transmit your data only as needed to run Keely for you, for example to back up your summaries and restore them on a new iPhone. This permission ends when you delete your account, apart from copies in our provider’s encrypted backups, which roll off on its regular cycle, typically within 30 days.
• We never sell your data or use it for advertising. Our Privacy Policy explains what we collect and the choices you have.

9Feedback

We’re glad to hear ideas and suggestions. If you send us some, you agree that we may use them to improve Keely without owing you anything for them.

10Our intellectual property

• Keely, including its software, design, text and graphics, and the Keely name and logo, belongs to Metrica Fit LLC or its licensors and is protected by intellectual property laws.
• We give you a personal, non-exclusive, non-transferable and revocable license to use the Keely app on Apple devices you own or control, for your own non-commercial use, under these terms. If you got Keely from the App Store, section 17 also applies.
• Some parts of Keely are open-source software, used under their own licenses. Those licenses govern those parts.
• These terms don’t give you any other rights in our intellectual property. Please don’t use the Keely name or logo without our permission.

11Third-party services and links

• Keely relies on services run by other companies, including Apple’s App Store and iOS and the service providers listed in our Privacy Policy. The Polar Loop and its firmware come from Polar. These services have their own terms, and we aren’t responsible for them.
• Our website links to other sites, including stores that sell the Polar Loop. We don’t control those sites and aren’t responsible for their content, products or practices.
• As an Amazon Associate, Metrica Fit earns from qualifying purchases. If you buy through our link, Amazon’s terms and privacy notice apply to your purchase.

12Availability and changes

We work to keep Keely running well, but we can’t promise it will always be available, uninterrupted or free of errors. Keely computes your scores on your iPhone, so much of it works offline. Signing in and backing up need an internet connection.

We may change, add or remove features, or stop offering Keely. If a change significantly affects you, or if we stop offering Keely, we’ll tell you in advance, in the app or by email, where we reasonably can.

13Ending your use

You can stop using Keely at any time. To delete your account, go to Settings › Delete account in the app. This deletes your account and everything Keely stored, in the cloud and on your iPhone.

We may suspend or end your access to Keely if you seriously or repeatedly break these terms, if the law requires it, or if it’s needed to protect Keely, its users or others. Where we reasonably can, we’ll tell you why.

Sections 9, 10, 14, 15, 16, 18 and 20 continue to apply after your use of Keely ends.

14Disclaimers

To the extent the law allows, Keely is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We don’t warrant that Keely, its readings or its scores will be accurate, complete, uninterrupted or free of errors, or that Keely will meet your needs.

Nothing in these terms excludes warranties or rights that the law says can’t be excluded.

15Limitation of liability

To the extent the law allows:

• Metrica Fit and its members, managers, employees and agents won’t be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue or goodwill, arising out of or related to Keely or these terms, even if we were told they were possible.
• Our total liability for all claims arising out of or related to Keely or these terms is limited to the greater of US$50 or the amount you paid us for Keely in the 12 months before the event giving rise to the claim. Keely is free, so today that limit is US$50.

Nothing in these terms excludes or limits our liability for fraud, for death or personal injury caused by our negligence, or for anything else that can’t be excluded or limited under the law that applies to you.

16Indemnity

To the extent the law allows, you agree to defend, indemnify and hold harmless Metrica Fit and its members, managers, employees and agents against any third-party claims, and the resulting losses, liabilities and reasonable costs (including reasonable legal fees), arising from your breach of these terms or your misuse of Keely. This doesn’t apply to the extent a claim is caused by our own fault.

17Apple App Store terms

If you downloaded Keely from Apple’s App Store, these terms also apply:

1. Parties. These terms are between you and Metrica Fit only, not Apple Inc. (“Apple”). Metrica Fit, not Apple, is solely responsible for Keely and its content.
2. Scope of license. Your license to use Keely is limited to a non-transferable license to use it on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that Keely may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.
3. Maintenance and support. Metrica Fit is solely responsible for providing maintenance and support for Keely, as described in these terms or as required by law. Apple has no obligation whatsoever to provide any maintenance or support services for Keely.
4. Warranty. Metrica Fit is solely responsible for any product warranties, whether express or implied by law, to the extent they aren’t effectively disclaimed. If Keely fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for Keely to you. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to Keely, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are Metrica Fit’s sole responsibility.
5. Product claims. Metrica Fit, not Apple, is responsible for addressing any claims by you or any third party relating to Keely or your possession or use of it, including: (i) product liability claims; (ii) any claim that Keely fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation. These terms don’t limit Metrica Fit’s liability to you beyond what the law permits.
6. Intellectual property claims. If a third party claims that Keely, or your possession and use of it, infringes that third party’s intellectual property rights, Metrica Fit, not Apple, is solely responsible for the investigation, defense, settlement and discharge of that claim.
7. Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
8. Third-party terms. You must comply with applicable third-party terms when using Keely, such as your wireless carrier’s data service agreement.
9. Questions and claims. Please direct any questions, complaints or claims about Keely to Metrica Fit, using the details in section 21.
10. Third-party beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of these terms. Once you accept these terms, Apple will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.

18Governing law and disputes

Governing law. These terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws rules.

Talk to us first. If you have a dispute with us, please email support@metrica.fit and tell us about it first. We’ll both try to resolve it informally. If it isn’t resolved within 30 days, either of us may take it to court.

Courts. Disputes will be resolved in the state and federal courts located in New Jersey, and both of us agree to their jurisdiction.

Your rights as a consumer. Nothing in these terms takes away rights you have as a consumer that can’t be changed by contract under the law of the country where you live. If you live in the European Union or the United Kingdom, you keep the protection of your country’s mandatory consumer laws, and you may also bring proceedings in your local courts.

19Changes to these terms

We may update these terms from time to time. When we do, we’ll change the “Last updated” date at the top. If a change is material, we’ll tell you in the app or by email before it takes effect. If you keep using Keely after a change takes effect, the updated terms apply. If you don’t agree with them, you can stop using Keely and delete your account.

20General

• Entire agreement. These terms are the entire agreement between you and us about Keely, and replace any earlier agreements about it. Our Privacy Policy explains how we handle your data.
• Severability. If any part of these terms turns out to be unenforceable, the rest stays in effect, and that part will be enforced as far as the law allows.
• No waiver. If we don’t enforce part of these terms right away, we can still enforce it later.
• Assignment. You may not transfer your rights or obligations under these terms without our written consent. We may transfer ours, for example as part of a merger, acquisition or sale of assets, as long as your rights under these terms aren’t reduced.
